Juris Doctor J.D., Master of Laws LL.M. or foreign equivalent, and 3 years of experience in position offered or as an attorney at an international law firm with annual revenues in excess of 750 million.br br All required experience must have included advising clients executive teams in all aspects of negotiating and strategic planning of transactions exceeding 500 million in value; drafting and assisting in negotiating acquisition agreements, including merger agreements, stock purchase agreements, membership interest purchase agreement, asset purchase agreements, joint venture agreements, stockholders agreements, putcall option agreements, convertible promissory notes, escrow agreements and related ancillary documents; coordinating, supervising and leading due diligence teams; supervising and coordinating local counsel and specialists work; assisting clients executive teams in entity selection, formation, capitalization, and maintenance, as well as dissolutions and liquidations, financing transactions, and corporate restructuring; and preparing and filing incorporation documents, drafting minute resolutions, attending and coordinating Board of Directors and Shareholders Meetings, and providing strategic advice on corporate governance legal issues.br Must be admitted to practice in New York.
