JD, LLM or foreign equivalent, and 1 year of experience in position offered or as JDLaw Clerk or Associate working in the area of Capital Markets.br br Must have 1 year of experience inbr researching US securities law, specifically the Securities Act of 1933 and SEA of 1934, to prepare draft documents for senior attorneys;br drafting offering documents, transaction agreements and ancillary documents in connection with various types of securities and debt offerings pursuant to U.S. securities laws;br assisting underwriters, agents and financial institutions with respect to public and private offerings of equity andor debt securities;br reviewing due diligence documents and coordinating with specialists and issuers regarding provisions of due diligence documents;br reviewing SEC reporting, compliance and corporate matters including 10Ks, 10Qs, 8Ks, 20Fs, 6Ks and proxy statements; andbr reviewing and researching capital marketSEC matters to ensure compliance with US exchange listing requirements, such as the listing rules of the NYSE and NASDAQ.br br Must be admitted to practice law in the state of California.br br Must be fluent in Mandarin written, reading and spoken to communicate and correspond with Chinesebased clients, review diligence documents written in Mandarin, and translate correspondence and communications from Mandarin to English as part of corporate work and negotiations.br br br Must travel domestically 612 times a year for approx. 24 days to visit GT offices and clients.br br Must travel to China 12 times a year to meet with clients.
